1. Program Overview
The OuroDocs affiliate program allows approved participants (sometimes referred to as freelancers, partners, or affiliates) to refer businesses to OuroDocs. When a referred account becomes a paying subscriber, the affiliate may earn recurring commissions while the subscription remains active, subject to this Agreement and the current program rules.
In this document, "you" or "affiliate" means the participant in the program, and "we," "our," or "OuroDocs" means Ouroboros Group LLC and its relevant affiliates.
This page is not a full legal contract. It is a summary of key concepts such as independent-contractor status, attribution, lifetime commission logic, payout timing, and conduct standards. The final, signed affiliate agreement (once implemented) will govern in case of any differences.
2. Independent-Contractor Status
Affiliates participate as independent contractors. Nothing in this Agreement creates an employment, agency, partnership, or joint-venture relationship between you and OuroDocs.
You are not authorized to bind OuroDocs, sign agreements on our behalf, negotiate pricing on our behalf, or handle customer funds. You are responsible for your own business registrations, insurance, tools, and compliance obligations.
You are free to determine your own outreach activities, working hours, and methods, provided that you comply with applicable laws and the conduct restrictions described in this Agreement.
3. Eligibility & Enrollment
- You must provide accurate registration information and keep it up to date (including your name, contact details, payout details, and any required tax information).
- You must comply with all laws and regulations that apply to your marketing activities and business operations (for example, email, advertising, and privacy rules in your jurisdiction).
- OuroDocs may accept, decline, suspend, or remove participants at its discretion, including for risk, compliance, performance, or brand-fit reasons.
- Certain categories, such as illegal content, deceptive or high-risk marketing, misuse of user data, or harassment, are ineligible even if they are not explicitly listed here.
5. Commissions, Tiering & Lifetime Logic
- Commissions apply to paid subscription amounts actually received by OuroDocs for referred accounts, excluding taxes, refunds, chargebacks, credits, discounts, trial periods, and non-subscription fees.
- Commission tiers (for example, Starter, Builder, Pro, Elite) are determined programmatically using metrics such as referred revenue, active client count, and other signals. Promotions and demotions are computed by automated jobs. We do not "hand edit" tiers except to correct clear errors or abuse.
- When a new client is first attached to you through an approved referral path, your current commission rate is locked for that client (subject to the rules and caps in the program documentation). As long as the client remains an eligible, paying subscriber, that locked rate will not decay over time for that client, even if tier thresholds change later.
- If you later move to a higher tier, new clients referred after the change may use your new, higher rate. Existing clients generally keep the rate that applied when they first became paying customers through your referral, unless this would violate law, policy, or an updated version of the program that has been properly noticed.
- Commission rates, tier thresholds, eligibility rules, and any caps or bonuses are versioned policy items. They may change prospectively, and we will provide notice before material new rates take effect. Changes will not retroactively apply to already-accrued commissions.
- If a billing event is later reversed (for example, a refund, failed payment, or chargeback), related commissions may be reversed, clawed back, or offset in later payouts as described in Section 6.
6. Payouts & Adjustments
Payouts are made on a regular cadence (typically monthly) to your designated payout method once your account meets the minimum payout threshold described in the program documentation. Payouts may be handled through providers such as Stripe or other payment processors.
OuroDocs may, consistent with the program rules:
- Net out refunds, chargebacks, failed payments, suspected fraud, or technical errors;
- Carry negative balances forward to future payout periods if adjustments exceed current accrued commissions; and
- Delay payouts if required by law, compliance checks, or to investigate unusual or potentially fraudulent activity.
You are responsible for keeping your payout details accurate and up to date. OuroDocs is not responsible for missed or misdirected payments caused by outdated or incorrect information you provide.
7. Conduct & Restrictions
We want the program to be fair, transparent, and sustainable. As an affiliate, you agree to:
- No spam or abusive outreach. Do not send unsolicited bulk messaging, use purchased lists, or contact people who have not consented to hear from you.
- No misleading claims. Do not exaggerate what OuroDocs can do, misstate pricing or terms, or imply outcomes we have not committed to in writing.
- No misuse of trademarks. Do not bid on "OuroDocs" or confusingly similar marks in search ads without written consent, and do not register domains that are confusingly similar to our brand.
- No misrepresenting your relationship. Do not claim to be an employee, agent, or official representative of OuroDocs. You are an independent contractor participating in an affiliate program.
- No handling customer funds. Do not collect, process, or store customer payments on our behalf. Payments should flow through approved OuroDocs systems.
- Follow disclosure rules. Where required by law or platform policy, clearly disclose that you may receive commissions for referrals (for example, "affiliate" or "promoted" labels).
8. Brand Use & Representations
We grant you a limited, revocable permission to reference "OuroDocs" and use approved brand assets solely to promote the program, as long as you follow any brand guidelines we provide.
- Do not alter logos, icons, or wordmarks except as permitted in written guidelines.
- Do not create your own marks that could be confused with the OuroDocs brand or suggest a different company.
- Do not make promises, guarantees, or warranties on our behalf, especially with respect to results, uptime, or compliance.
9. Term, Suspension & Termination
This Agreement begins when you are accepted into the program and continues until terminated by either party in accordance with the final, signed version of the affiliate agreement.
OuroDocs may suspend or terminate your participation if:
- You breach this Agreement or other program rules;
- We suspect fraud, abuse, or high-risk activity;
- Your account remains inactive for an extended period; or
- We decide to discontinue or significantly change the program.
Sections relating to payments due (subject to any offsets), brand use, confidentiality, liability, and dispute terms may survive termination as specified in the final, lawyer-reviewed Agreement.
10. Changes to the Program
OuroDocs may modify the affiliate program, commission rates, tiers, tracking methods, payout thresholds, and this Agreement on a prospective basis.
When we make material changes, we will provide notice (for example via email, the affiliate portal, or an in-app banner). Continued participation after the effective date of any changes constitutes acceptance of the updated terms, to the extent permitted by law.
11. Taxes, Records & Audit
You are responsible for any taxes, filings, and regulatory obligations arising from your commissions and affiliate activities. OuroDocs does not provide tax or legal advice.
You agree to keep reasonable records of your promotional activity and affiliate income, and to provide information we reasonably request for compliance, anti-fraud, or reporting purposes, subject to applicable privacy and data-protection laws.
12. Disclaimers & Liability
EXCEPT AS REQUIRED BY LAW, THE PROGRAM IS PROVIDED "AS IS" AND "AS AVAILABLE." OURODOCS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OURODOCS' AGGREGATE LIABILITY RELATING TO THE AFFILIATE PROGRAM IS LIMITED TO THE COMMISSIONS EARNED AND PAYABLE TO YOU IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
13. Governing Law
The governing law, venue, dispute-resolution procedures, and any mandatory arbitration or class-action waivers for this Agreement will be set out in your final, lawyer-reviewed Affiliate Program Agreement. Until that is in place, treat this page as a high-level outline only.
