Terms of Service
These terms explain how OuroDocs works, what you can expect from us, and what we expect from you. We’ve kept them as clear and straightforward as we can so you can understand how everything fits together without needing a lawyer.
By using OuroDocs (including our website, client portal, and freelancer tools), you agree to these Terms.
1. Who We Are & What This Covers
OuroDocs is a document processing and automation service. We help businesses handle documents (like invoices, receipts, and other files) using a mix of automation and, where appropriate, human review from independent freelancers.
These Terms apply to:
- Visitors to our website.
- Paying clients who use OuroDocs services.
- Freelancers and affiliates using our programs and tools.
Our handling of personal data is also governed by our Privacy Policy.
2. Accounts, Security & Access
To use certain parts of OuroDocs (like the client or freelancer portal), you’ll need an account.
- You must provide accurate information and keep it up to date.
- You’re responsible for keeping your login details private.
- If you suspect someone else has access to your account, change your password immediately and let us know.
We may suspend or restrict access if we detect suspicious activity, security issues, or misuse of the service.
3. Subscriptions, Billing & Cancellations
OuroDocs is offered as a subscription service, sometimes with usage-based (per-document) charges on top.
- Pricing: Your plan, included usage, and per-document rates are shown clearly at sign-up and in your account.
- Billing: We bill through trusted payment providers. Taxes, when applicable, are added at checkout.
- Usage: If you go over the included documents in your plan, extra usage is billed at the rates described in your plan.
- Cancelling: You can cancel before your next billing cycle to avoid future renewals. We don’t backdate cancellations.
We may adjust pricing or plan structures in the future. When we do, we’ll give you notice and apply changes on a going-forward basis, not retroactively.
4. Fair Use & Automated Systems
We work hard to keep OuroDocs stable, secure, and fair for all users. To do that, we may apply rate limits, safety checks, or other guardrails around:
- How many documents can be processed within a given window.
- How aggressively you can call our systems via API or automations.
- Behavior that looks like abuse, scraping, or automated probing.
If you need very high-volume or custom behavior, we can discuss a tailored plan instead of trying to work around these safeguards.
5. Freelancers, Affiliates & Referrals
OuroDocs works with independent freelancers and affiliate partners:
- Freelancers are independent contractors. They are not employees or agents of OuroDocs.
- Affiliates refer clients to OuroDocs under our affiliate program and earn commissions according to our Affiliate Terms.
The details of commissions, tiers, and payouts are explained in the official affiliate and freelancer documentation. If there is ever a conflict between marketing copy and the underlying program rules, the program rules and this Agreement control.

6. Your Content & Our Use of It
When you upload documents or other content to OuroDocs, you keep ownership of your materials. You grant us a limited license to use that content only to:
- Process and analyze it as part of the services you requested.
- Improve our models and systems in anonymized or aggregated form.
- Maintain backups and logs for security and reliability.
We will not sell your documents or use them to target ads. Our handling of data is also governed by our Privacy Policy.
7. Intellectual Property
The OuroDocs platform, branding, and underlying technology are owned by us or our licensors. You receive a limited, non-transferable license to use the service while you have an active account and comply with these Terms.
You may not:
- Reverse-engineer or attempt to copy the core systems or code.
- Use our trademarks in your own product names or branding.
- Claim ownership over our software, models, or designs.
8. Prohibited Uses
You agree not to use OuroDocs for:
- Illegal, fraudulent, or deceptive activities.
- Spamming, phishing, or sending misleading communications.
- Processing content you do not have the right to use.
- Harassment, abuse, or other harmful conduct.
- Probing, scanning, or testing the security of our systems except as explicitly authorized in writing.
9. Service Changes, Downtime & Updates
We may update or change features over time. We try to avoid disruption and to be transparent about major changes.
- The service may occasionally be unavailable due to maintenance or outages.
- We’re not responsible for failures caused by third-party providers (like hosting or networks), but we’ll work to restore service quickly.
10. Disclaimers
We do our best to provide a stable, useful service, but no online service can be guaranteed perfect.
EXCEPT AS REQUIRED BY LAW, OURODOCS IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
11. Limitation of Liability
To the maximum extent permitted by law, OuroDocs and its owners, employees, and contractors are not liable for:
- Indirect, incidental, or consequential damages.
- Loss of profits, revenue, or data.
- Business interruption or system failures.
Where liability cannot be fully excluded, our total aggregate liability related to your use of OuroDocs is limited to the fees you paid to us for the service in the 12 months before the event giving rise to the claim.
12. Indemnity
If your use of OuroDocs breaks the law or these Terms and causes harm or loss, you agree to indemnify and hold harmless OuroDocs against resulting claims, damages, and expenses, to the extent allowed by law.
13. Governing Law & Disputes
These Terms are governed by the laws of the U.S. state where OuroDocs (or its parent company) is formed, without regard to conflict-of-law rules. If we ever have a dispute, we’ll try to resolve it informally first. If that fails, the courts in that state will have exclusive jurisdiction, unless applicable law requires otherwise.
14. Changes to These Terms
We may update these Terms over time. When we do, we’ll update the “Last updated” date at the top of the page and, where appropriate, provide additional notice (for example, via email or in-app).
If you continue using OuroDocs after changes take effect, that will mean you accept the updated Terms.
